The purpose of these Terms of Use is to explain the terms and conditions that apply to your access and use of the Dhanshree Finance Platform. These terms let you know what we expect from you and what you can expect from us. You (the user) are expected to follow the rules and guidelines provided in these terms, and to use the platform respectfully and responsibly. We (the providers) commit to offering a reliable and functional platform, and we will address any issues or concerns you might have.

The Dhanshree Finance Platform allows merchants and businesses to utilize technology to access Dhanshree Finance Credit (defined below) and manage their business finances through a unified dashboard.

These Terms constitute an electronic record in accordance with the Information Technology Act, 2000 and its applicable rules, as amended from time to time. Produce by a computer system, this electronic proof does not need any bodily or digital signatures. These Terms are published in compliance with Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, established under the Information Technology Act, 2000 (as amended), which requires publishing the terms of use for accessing or using the Dhanshree Finance Platform and Services (defined below). These Terms form a legally binding and enforceable contract between us and the User (defined below).

These Terms govern the access and use of the Dhanshree Finance Platform, including all related sub-links and services provided, hosted at www.dhanshreefinance.co.in (“Website” or “Dhanshree Finance Platform”). The platform is offered by Dhanshree Finance Limited (referred to as “Dhanshree Finance”, “Company”, “We”, “Us”, and “Our” as needed, and includes its affiliates and assigns).

Please note that Dhanshree Finance is only a technology platform and is not a bank or a lender (defined below). Dhanshree Finance does not have a banking license and does not provide credit directly. Instead, it helps you apply for credit from a lender. The credit offered through the Dhanshree Finance Platform is provided by the lender, who follows all security standards and legal requirements according to RBI regulations. By using this service, you agree to follow these terms.

These Terms regulate the User's use and access of the Website. They are an essential part of, and should be read together with:

  • The Privacy Policy governs the use of the Website and any information provided to the User in any form. It is available at www.dhanshreefinance.co.in/privacy-policy/ (“Privacy Policy”).
  • The terms and conditions, privacy policy, loan agreements, sanction letters, Key Fact Statements (KFS), and any other documents required by the Lender in connection with the Services you use.
  • The Dhanshree Finance Credit Terms, available on the Dhanshree Finance Platform, govern the credit and business loan facilities offered by the Lender. By using Dhanshree Finance Credit, the User agrees to be bound by these Credit Terms, which should be read together with these Terms and the Privacy Policy.
Definitions

Unless the context indicates otherwise, the following capitalized terms shall have the meanings assigned to them below:

"Admin Verified" refers to the approval granted by the administrator at Dhanshree Finance for the User to access a specific Service or set of Services, contingent upon the submission of the User's information, compliance with Know Your Customer ("KYC") requirements, risk assessment, and the completion of any other necessary controls or protocols to verify and authenticate the User in accordance with applicable laws, including but not limited to RBI Guidelines.

"Business Days" refers to any day when banks are open for business in Mumbai, New Delhi, and Bangalore, India.

"Business Current Account" or "Payment Account" refers to a bank account linked by the User to the Dhanshree Finance Platform for loan disbursements. This account can be newly opened with any bank and linked to the platform for settlements, or an existing bank account can be linked after KYC verification. Use of the Business Current Account by any User is subject to the terms set by the respective bank where the account is held.

"Know Your Customer" or "KYC" refers to the rules and regulations under applicable laws, including the RBI's Master Directions ‐ Know Your Customer Directions dated February 25, 2016. These guidelines require Dhanshree Finance to collect personal identification details from Users who wish to access or use the Dhanshree Finance Platform.

"Lender" means IIFL Finance Limited, a non-banking finance company registered with the Reserve Bank of India ("RBI").

"User Account" refers to the online account created by the User on the Dhanshree Finance Platform, following the on boarding requirements specified by the RBI Guidelines.

"RBI Guidelines" refers to the current rules, regulations, orders, directions, notifications, and guidelines issued by the Reserve Bank of India (RBI). These include but are not limited to the Payment & Settlement Systems Act, 2007, RBI Directions for opening and operation of accounts and settlement of payments for electronic payment transactions involving intermediaries dated November 24, 2009, the Guidelines on Regulation of Payment Aggregators and Payment Gateways dated March 17, 2020, RBI Guidelines on Digital Lending dated September 2, 2022, and the Master Directions for Know Your Customer (KYC), 2016, as updated from time to time.

"Service(s)" refers to the various services provided by Dhanshree Finance to the User upon the User's request.

  • Helping the User complete KYC compliance and onboard onto the Dhanshree Finance Platform.
  • Assisting in obtaining Dhanshree Finance Credit, and facilitating the signing of the sanction letter and loan agreement with the Lender.
  • Providing details of the Dhanshree Finance Credit obtained, and information on interest and principal repayments, on the Dhanshree Finance Platform.
  • Supporting the User with any questions or clarifications they may have regarding the Dhanshree Finance Platform.

"Service Provider" refers to any entity or association of persons that provides facilities or services used in delivering the Services, including but not limited to Dhanshree Finance.

"Transaction" means the lending of loans from the Lender to the User.

"User", "You", "Your" and "Yourself", as needed, mean a natural person or legal entity (such as sole proprietor, partnership firm, company, LLPs, trusts, societies or HUFs) who registers on the Dhanshree Finance Platform, conducts transactions, or uses Services. The term 'User' also includes the personnel of the User (including but not limited to current or former officers, directors, or employees of the User) who access the Dhanshree Finance Platform using the User Account credentials with either full rights or limited rights, as applicable.

Eligibility

The Dhanshree Finance Platform can only be accessed or used by individuals who are above 18 (eighteen) years old and can legally enter into contracts with us under the Indian Contract Act, 1872, meaning they are 'competent to contract' as per Section 11 of the Act. By using or accessing the Dhanshree Finance Platform, you represent that you are competent to contract. If you are registering as a business entity, you also represent and warrant that you have the authority to bind that business entity to these Terms.

Guidance by Dhanshree Finance

Subject to the assessment conducted by the Lender, Dhanshree Finance will help you connect with the Lender and assist in signing the loan documents so that you can use Dhanshree Finance Credit.

Once your eligibility limit is determined, the Lender will provide the business loan to you. You can view your eligibility limit on your Account on the Dhanshree Finance Platform. Depending on this limit, you may be allowed to obtain a business loan from the Lender. You can confirm the disbursal amount and other terms and conditions of the loan (as decided by the Lender) on the Dhanshree Finance Platform and in the loan documents you sign with the Lender.

Register & Access

To access and use the Dhanshree Finance Platform and Services, you need to register a User Account. As part of this process, you must provide the Company and Lender with all the documents and information required for KYC compliance under the RBI Guidelines. It's important to provide true, accurate, current, and complete information at all times. If the information provided is not accurate or complete, we may reject your registration and terminate your right to use the Dhanshree Finance Platform and Services at any time.

For KYC compliance, Dhanshree Finance has the right to request self-attested copies of the documents you submitted during or after the registration process.

When you register on the Website, a User Account will be created based on the information you provide. It's important to keep your User Account credentials confidential because you will be solely responsible for all activities on your User Account. Please ensure that your User Account details are always correct and complete. If there are any changes to your email address, mobile number, address, authorization, control, legal status, or if you cease your business, you must inform Dhanshree Finance in writing at least 30 (thirty) Business Days in advance.

You are responsible for keeping your username, password, and any other User Account information safe and confidential. It's important to prevent unauthorized access to your User Account and devices. Dhanshree Finance will not be responsible for any mistakes or misuse of your User Account, whether by you, someone authorized by you, or anyone who gains access to the Services through your User Account.

It is your duty to occasionally review these Terms for revises or changes. By continuing to use the Dhanshree Finance Platform after any amendments to these Terms, you are considered to have accepted those amendments. As long as you continue to comply with these Terms, Dhanshree Finance grants you the personal, non-exclusive, non-transferable, and limited privilege to access and use the Dhanshree Finance Platform.

You must use the Dhanshree Finance Platform and the Services it offers only for lawful business activities. You must not engage in any activity that is prohibited, illegal, or unethical, or in any way support the continuation of such activities that violate any law or regulation, plus but not restricted to the RBI plan.

You are responsible and agree to compensate us for any liability, costs, or damages that arise from: (a) providing false, incorrect, or misleading information, and (b) the compromise of your User Account credentials. Dhanshree Finance has the right to deny access to the Dhanshree Finance Platform, terminate accounts, or remove/edit content at any time without notifying the User if these Terms are violated.

Offline Aadhar e-KYC Verification

If you choose to register on the Dhanshree Finance Platform using Aadhaar offline e-KYC, as the Aadhaar holder, you hereby irrevocably undertake to:

  • You agree to request Dhanshree Finance, the Lender, and Karza Technologies Private Limited ("Karza") to access your Aadhaar Information (defined below) from the Unique Identification Authority of India ("UIDAI"). This includes fetching and verifying information such as Aadhaar Number, Aadhaar XML, Virtual ID, e-Aadhaar, Masked Aadhaar, Aadhaar details, demographic information, identity information, Aadhaar registered mobile number, face authentication particulars, and/or fingerprint information (collectively pass on to as "Aadhaar Information").
  • Explicitly authorize Dhanshree Finance and Karza to fetch your Aadhaar Information from UIDAI for completing KYC verification.
  • Agree to take all necessary actions to authenticate and verify your Aadhaar Information.
  • Provide a valid, binding, irrevocable, and explicit authorization and consent as required under applicable laws, rules, regulations, and guidelines for availing the Aadhaar API services of Dhanshree Finance and Karza. This includes the transmission and storage of your Aadhaar Information.
  • Understand and agree that this consent is voluntary and not coerced by Dhanshree Finance, Karza, or any other party.
  • Understand and accept sole responsibility for any issues, legal suits, damages, losses, penalties, fines, or liabilities ("Losses") arising from sharing your Aadhaar Information and authorizing Dhanshree Finance and Karza to fetch your Aadhaar Information. You agree to hold harmless Dhanshree Finance, Karza, its representatives, employees, and directors for any Losses arising from such requests and actions.
  • Understand and agree that Dhanshree Finance and Karza do not store or retain any of your Aadhaar Information, including the Aadhaar number, after processing your request.
Data, Audit & Security

The User and Dhanshree Finance both promise each other that they will follow the data security rules set out in the RBI Guidelines. This includes the procedures for managing and reporting incidents.

Dhanshree Finance and the Lender can, at their discretion, conduct inspections, risk assessments, security audits, and impose additional conditions or restrictions on your User Account. This may include withholding services and requiring you to upgrade your infrastructure to comply with the law.

The User agrees not to sell, provide, exchange, or disclose to third parties, or use for any purpose other than completing a Transaction or as required by law, any personal information about any third party (whether a Customer or otherwise), including financial details and personal identification information, without first obtaining the written consent of that third party.

We use cookies on the Dhanshree Finance Platform, as do most interactive websites, to retrieve User details for each visit. Cookies are used in certain areas of our platform to improve functionality and user experience. By using the Dhanshree Finance Platform, you consent to the use of cookies as described in our Privacy Policy. Some Service Providers may also use cookies.

Content

Unless you specifically permit us to do so, using our services does not give us the right to use, reproduce, adapt, modify, publish, or distribute the content created and/or stored in your User Account. However, you grant us permission to access, copy, distribute, store, transmit, reformat, or disclose the data or content of your User Account for the purpose of providing the Services you have requested or used.

The User can transmit or publish content created using any of the Services. However, the User is solely responsible for this content and the consequences of transmitting or publishing it. Any content received from third parties while using the Services is provided to the User "AS IS" for their information and personal use only. The User agrees not to use, copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit such content for any purpose without the express written consent of the person who owns the rights to that content.

The User agrees not to do anything or post, display, upload, modify, publish, transmit, update, or share any information that:

  • Belongs to someone else and you do not have the right to use.
  • Is harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of privacy, hateful, racially or ethnically objectionable, disparaging, related to money laundering or gambling, or otherwise unlawful.
  • Infringes any patent, trademark, copyright, or other intellectual property rights of a third party.
  • Violates any current laws.
  • Impersonates another person.
  • Contains viruses or any other computer code or programs designed to disrupt, destroy, or limit the functionality of the Dhanshree Finance Platform.
  • Is prohibited under applicable laws, including the Indian Penal Code, 1860, and rules made under it.
  • Threatens India's unity, integrity, defense, security, sovereignty, friendly relations with foreign states, public order, incites any offence, or obstructs any offence investigation, or insults any other nation.

You are also prohibited from:

  • Violating or attempting to violate the integrity or security of the Dhanshree Finance Platform or any content.
  • Transmitting disruptive or competitive information or messages through the Platform.
  • Sending unsolicited communications to other Users.
  • Using any software or mechanism to navigate or search the Dhanshree Finance Platform.
  • Attempting to decipher, decompile, disassemble, or reverse engineer any part of the Dhanshree Finance Platform.
  • Copying or duplicating content or information from the Dhanshree Finance Platform in any manner.

We do not guarantee the accuracy, completeness, or correctness of the information provided on the Dhanshree Finance Platform. The material on the platform is intended for general information purposes only and should not be relied upon as the sole basis for making decisions. It is important to consult primary, more accurate, complete, or timely sources of information before making any decisions. Any reliance on the material on the Dhanshree Finance Platform is at your own risk. The platform may contain historical information that may not be updated and is provided for your reference only. We reserve the right to modify the contents of the Dhanshree Finance Platform at any time without any obligation to update the information. You agree that it is your responsibility to monitor changes on the Dhanshree Finance Platform.

Third party links

The Dhanshree Finance Platform may include links to third-party websites, applications, services, and resources. These links are provided for your convenience to access certain services and should not be seen as an endorsement by Dhanshree Finance of these third-party offerings. We do not guarantee the accuracy, reliability, effectiveness, or correctness of any aspect of these third-party services. Therefore, we are not responsible for the content, products, or services provided by these third-party services. You are responsible for reviewing and understanding the terms and conditions and privacy policies that apply to your use of any third-party services. You acknowledge your sole responsibility and assume all risks arising from your use of any third-party services.

Intellectual property rights

All copyrights, patents, trade secrets, know-how, trade dress, trademarks, service marks, trade names, moral rights, and other intellectual property and proprietary rights ("IPR") in the Dhanshree Finance Platform and Services belong exclusively to Dhanshree Finance and its licensors/partners, where applicable. These intellectual property rights cannot be copied, reproduced, distributed, transmitted, broadcasted, displayed, sold, licensed, uploaded, or otherwise exploited without prior written consent from Dhanshree Finance.

Relationship

You understand and agree that these Terms do not create a partnership or joint venture between you and us, nor do they make either party responsible for the debts or obligations of the other party.

You agree not to describe yourself (whether online or otherwise) as an agent or representative of Dhanshree Finance, or make any representations or give any warranties that would require us or our service providers to undertake any obligations or be liable for any tasks to you or any third party.

Privacy

The User agrees not to disclose or try to use for personal gain any non-public information obtained from the Website or through the Services. This obligation continues until the information becomes publicly known without the User's involvement. If a court or government body compels the User to disclose such non-public information (or the User becomes aware of efforts to obtain such an order), the User agrees to promptly notify us and cooperate fully with us in protecting the information as much as possible under the law.

We may access, preserve, and disclose any of your information if required by law, or if we believe in good faith that it is reasonably necessary to: (i) respond to claims against us or comply with legal processes, (ii) prevent fraud, investigate risks, provide user support, develop products, or debug issues, or (iii) protect our rights, property, or ensure the safety of our users or the public.

Disclaimer of Guarantee & Limitation of Liability

In providing the Services, we can rely on all electronic communications, orders, or messages sent to us through the Service Providers, as long as they comply with the processing mechanism of the Service Providers and applicable laws, including the RBI Guidelines. We are not required to verify or inquire further into the identity of the sender or the integrity of any communications, orders, or messages.

We will strive to keep the Services accessible and available without interruption or errors. Sometimes, access to the application may need to be suspended or limited for repairs, maintenance, or to introduce new features and Services. During such times, we won't be responsible for any disruption in the Services. We reserve the right to decide when and what software updates will be provided, which may be automatically downloaded and installed by the application without prior notice to you.

Dhanshree Finance is not a lender. We have a contractual arrangement with the lender, who offers Dhanshree Finance Credit to users of the Dhanshree Finance Platform. Any Dhanshree Finance Credit facility provided by the lender to you is governed by terms and conditions agreed upon between you and the lender. Dhanshree Finance is not involved in those terms and conditions.

Dhanshree Finance and its directors, officers, employees, and agents shall not be responsible in any way for:

  • Your application for Dhanshree Finance Credit may be rejected by the Lender, with or without providing a reason.
  • Dhanshree Finance is not required to disclose the reasons for rejection.
  • If the Lender offers you Dhanshree Finance Credit, the terms and conditions will solely apply between you and the Lender. Dhanshree Finance will not be involved in these terms.

The Services are provided as-is and as-available. We do not guarantee any warranties, whether express or implied, including merchantability and fitness for a specific purpose. We cannot guarantee that the Services will always be uninterrupted, timely, secure, or error-free. The User assumes all risks associated with accessing and using the Website and Services. Specific limitations of liability apply to each Service.

We shall not be liable for any breach of these Terms due to any force majeure event that prevents or delays the performance of our obligations under these Terms. Force majeure events include, but are not limited to, acts of God, fire, lightning, explosion, flood, adverse weather conditions, power failures, failure in any communication systems, equipment breakdown, strikes, lock-outs, pandemics, epidemics, or any other cause beyond the control of Dhanshree Finance. We shall not be liable to you for any indirect losses, special, consequential, or punitive damages or losses, including but not limited to, loss of business, data, profits, or goodwill.

Indemnity

The User agrees to indemnify Us from and against any and all liability, including liabilities, judgments, damages, losses, claims, costs, and expenses, arising from or relating to any claim, suit, or proceeding brought against Us by another User, Service Provider, or third party for reasons including, but not limited to, (i) a breach, non-performance, non-compliance, or inadequate performance by the User of any of the terms, conditions, representations, obligations, or warranties made by him/her; (ii) any acts, errors, fraud, misrepresentations, willful misconduct, or negligence of the User, or their employees, subcontractors, and agents in performance of their obligations under these Terms.

Communication policy

As part of using our Services, you may receive notifications from us via text messages or emails, mainly for collecting feedback. You can choose to deactivate receipt of non-service related communications either from your User Account settings or by sending an email to dhanshreefinance662@gmail.com stating your preference not to receive these communications. Please note that the SMS service we provide is an additional convenience, but it may be prone to errors, omissions, and inaccuracies.

Client complaints

If we receive a general complaint about your use of the Dhanshree Finance Platform, we will forward the complaint to your registered email address. You must respond to the complaint within 36 hours of receiving our email, and copy us on your response. If you do not respond within this time frame, we may, at our discretion, disclose your contact information to the complainant so they can take legal action against you. Your failure to respond within the 36-hour limit will be seen as your consent to us disclosing your name and contact information to the complainant. However, you acknowledge that we may disclose any information about you if we believe it is necessary in the interest of justice.

It is understood that a transaction is solely between the lender and the user, and Dhanshree Finance does not provide any guarantees, warranties, or delivery level commitments with respect to the user. Using the Dhanshree Finance Platform does not imply any endorsement by us of any user.

Suspension and termination

If the User (a) breaches these Terms; (b) engages in or is suspected of engaging in any illegal, fraudulent, immoral, or abusive activity; or (c) provides any information that is untrue, inaccurate, not current, or incomplete, or if We have reasonable grounds to suspect such information, We reserve the right to suspend or terminate the User's access to any or all of the Dhanshree Finance Platform and Services without notice. This action will be without prejudice to our right to exercise any other remedy available under applicable law.

If we notice any suspicious or unusual activity from the User on the Dhanshree Finance Platform, we may, at our discretion, temporarily or permanently suspend the User's access to the platform and take any actions necessary to reduce risk, as we see fit.

Governing Law, Jurisdiction and disputes

These conditions are managed by laws of India. Any disputes arising from or related to these Terms will be exclusively subject to the jurisdiction of the competent courts in Bangalore, India.

Dhanshree Finance and the User agree that in case of any dispute or claim arising from or related to these Terms: (a) The transaction logs maintained by Us will be the sole source of data to verify the accuracy of such transactions. (b) These logs will be fully binding as evidence for adjudicating the dispute or claim. (c) The dispute or claim will be resolved through binding arbitration under the Arbitration and Conciliation (Amendment) Act, 1996, and the rules of the Conciliation and Arbitration Centre, Bangalore, as amended from time to time. The exclusive seat of arbitration will be at Bangalore, India.

If any part of these Terms is found to be invalid or unenforceable according to applicable law, including warranty disclaimers and liability limitations, the invalid or unenforceable provision will be replaced by a valid, enforceable provision that most closely aligns with the intent of the original provision. The leftover of the Terms will stay in effect.
